Determining the Best Transaction Method for Your Sale

We’ll work to minimize tax implications for your transaction by deciding which of the three sale structuring methods makes the most sense for your business:

  • Asset sale — Seller remains the legal owner of the business while the buyer takes over receivables or assets (e.g., equipment, customer base)
  • Stock sale — Buyer purchases the owner’s share of the corporation (e.g., shares of stock), allowing the seller to treat the equity sold as capital gains.
  • Stock sale with a Sec. 338(h)(10) election — A combination of an asset sale and a stock sale, during which the buyer acquires the business equity but the sale is otherwise treated as an asset sale from a tax perspective.
